Experienced Corporate Contract Attorney Needed for Technology Subcontract Agreement Review

We are looking for an experienced corporate contract attorney to review, revise, and strengthen a technology subcontract services agreement. This is not a litigation matter. We need a business-focused lawyer with strong contract drafting skills who understands subcontractor risk allocation, intellectual property protection, independent contractor structuring, payment protections, indemnity limits, and prime/subcontractor relationships. The immediate task is to review and refine an agreement draft. Deliverables: - Markup/redline of the current agreement - Written issue summary identifying key risks and recommendations - Clean revised draft ready for negotiation or signature What we need from you: - Review our current draft agreement - Identify legal weaknesses, ambiguity, or hidden exposure - Rewrite or improve clauses where needed - Flag issues involving subcontracting structure, public contracting risk, IP ownership, indemnity, payment, confidentiality, and termination - Provide practical actionable comments, not just academic analysis - Help produce a signature-ready version Ideal background: - U.S. corporate / commercial contracts attorney - Strong experience with subcontractor agreements, MSAs, SOWs, vendor agreements, or technology services contracts - Experience with software, SaaS, consulting, or professional services agreements - Familiarity with IP ownership, licensing, open-source exposure, and contractor classification issues is a plus Please respond with: - Your relevant experience with corporate contract drafting and negotiation - Whether you have handled subcontractor / prime contractor risk-allocation agreements before - Whether you have experience with software, SaaS, or IP-sensitive contracts - Your hourly rate or flat-fee proposal - Your expected turnaround time
